SPONSORSHIP AGREEMENT

1. PAYMENT TERMS

Sponsor agrees to pay the monetary contribution in full within 30 days of invoicing.

Failure to make timely payments may result in termination of this Agreement.

2. TERM AND TERMINATION

This Agreement shall remain in effect until the conclusion of the Event.

Either party may terminate this Agreement in writing with 30 days’ notice.

If the Organizer cancels the Event, the Sponsor shall be entitled to a refund of any paid monetary contributions, unless otherwise agreed.

3. USE OF LOGOS AND TRADEMARKS

Sponsor grants Organizer a limited, non-exclusive, non-transferable license to use Sponsor’s logo and trademarks for promotional purposes related to the Event.

Organizer grants Sponsor permission to use Event branding for mutually agreed-upon promotional activities.

4. LIABILITY AND INDEMNIFICATION

Each party agrees to indemnify and hold harmless the other from any claims, damages, or liabilities arising out of negligence or misconduct related to this Agreement.

Organizer is not liable for any losses suffered by Sponsor due to the cancellation or rescheduling of the Event for reasons beyond its control.

5. CONFIDENTIALITY
Both parties agree to keep confidential any proprietary or sensitive information exchanged during the term of this Agreement.

6. GOVERNING LAW
This Agreement shall be governed by the laws of Maine. Any disputes shall be resolved in the courts of Maine.

7. MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties and supersedes any prior understandings.

Amendments must be in writing and signed by both parties.

Neither party may assign this Agreement without prior written consent.
